OwnNet Source License 1.1 (Source Available Edition) Version 1.1, August 2026 ═══════════════════════════════════════════════════════════════════════════ LICENSE PARAMETERS (fill in for your project) ═══════════════════════════════════════════════════════════════════════════ Project Name .......... Licensor .............. Copyright ............. Copyright (c) Licensor Contact ...... Project Website ....... Revenue Threshold ..... USD $100,000 Attribution Line ...... "Based on by ()" Change Date ........... None (this License does not auto-convert) A reuser of this License fills in the parameters above for their own project. Wherever the terms below say "the Project", "the Licensor", "the Revenue Threshold", "the Attribution Line", or "the Change Date", they mean the values set in this block. The body of the License is otherwise project-neutral. ═══════════════════════════════════════════════════════════════════════════ NOTICE This is a Source Available license, not an Open Source license as defined by the Open Source Initiative (OSI), and not a Free Software license as defined by the Free Software Foundation. The source code is published for transparency, security audit, study, personal use, and community contribution. Commercial Use (as defined below) requires a separate written agreement with the Licensor. ═══════════════════════════════════════════════════════════════════════════ PREAMBLE The Project is published in the spirit of the Open Internet 4.0 movement. The Licensor believes that digital tools must respect user sovereignty: devices must work without continuous corporate permission, data must be portable, and software must be auditable, repairable, and forkable. The source is open for study, personal use, and community contribution. Commercial exploitation of the Project without the Licensor's knowledge and consent is not permitted. Building surveillance, lock-in, or remote-disablement products on top of the Project is not permitted by anyone. Full manifesto: https://own-net.com/ ═══════════════════════════════════════════════════════════════════════════ 1. DEFINITIONS 1.1 "License" means this document, version 1.1 of the OwnNet Source License. 1.2 "Project" means the software project identified in the LICENSE PARAMETERS block, comprising its source code, compiled or generated artifacts, configuration, documentation, and other files distributed under this License by the Licensor. 1.3 "Software" means the Project and any portion of it. 1.4 "Licensor" means the copyright holder(s) identified in the LICENSE PARAMETERS block, and their successors and permitted assigns. 1.5 "Steward" means the Licensor, or the person or entity the Licensor designates in writing to maintain the canonical Project. Revisions of this License are published as set out in Section 11.8, not by the Steward. 1.6 "You" (or "Your") means the individual or legal entity exercising rights under this License. For a legal entity, "You" includes all entities that control, are controlled by, or are under common control with that entity. 1.7 "Contribution" means any work of authorship, including modifications and additions to the Software, that is intentionally submitted to the Steward for inclusion in the Project by You or on Your behalf. "Submitted" means any form of communication sent to the Steward or its designated channels (including version-control systems, issue trackers, and mailing lists), excluding communication conspicuously marked "Not a Contribution". 1.8 "Contributor" means the Licensor and any person or entity whose Contribution has been incorporated into the Software. 1.9 "Derivative Work" means any work, in source or object form, that is based upon the Software (or a portion of it) and constitutes a work of authorship subject to copyright, such as a work created by modifying, translating, adapting, or extending the Software, or by incorporating a substantial portion of the Software. The following do NOT, by themselves, create a Derivative Work: (a) interacting with the Software solely through its unmodified public interfaces (network protocols, IPC, command-line interface, or published application programming interfaces); (b) communicating with the Software over a network or between separate operating-system processes; (c) linking to, or being linked by, the Software's unmodified public interfaces, whether statically or dynamically, where Your code is a separate and independent work that does not itself embody a substantial portion of the Software; (d) bundling the Software with other independent works on a storage or distribution medium ("mere aggregation"). 1.10 "Commercial Use" means any of the following: (a) use of the Software or a Derivative Work by, or on behalf of, a person or legal entity whose Annual Gross Revenue exceeds the Revenue Threshold; or (b) making the functionality of the Software or a Derivative Work available to third parties as a hosted, managed, or software-as-a- service offering for a fee; or (c) selling, licensing, sublicensing, renting, or distributing the Software or a Derivative Work, as a standalone product or as a primary component of a product, in exchange for a fee. For the avoidance of doubt, using the Software to operate Your own business, including to sell goods or services that are not themselves the Software's functionality (for example, running a shop's point of sale, or a seller's own live-commerce operations), is NOT Commercial Use unless paragraph (a) applies. 1.11 "Annual Gross Revenue" means the total worldwide gross revenue of the legal entity exercising rights under this License, aggregated with all entities that control, are controlled by, or are under common control with it, during the most recent completed twelve-month fiscal period. For an individual, it means that individual's total gross income from all trade or business activity over the same period. 1.12 "Closed System" means a product, service, platform, or system that does any of the following: (a) implements a remote kill switch, or requires continuous third-party server authorization, for the basic operation of a device or of software the user already owns or has licensed, where that authorization can be withheld or revoked without the user's consent and without a documented, self-serviceable alternative; (b) stores the user's own data exclusively in an undocumented proprietary format, without providing a documented, machine-readable export that the user can invoke at will; (c) technically prevents the user from inspecting, modifying, or replacing the software running on hardware the user owns; (d) collects, monitors, or transmits the user's activity, usage patterns, communications, or personal data without prior explicit, informed, and independently revocable consent. The following do NOT, by themselves, make a product a Closed System: ordinary account authentication for a network service the user chooses to use; good-faith use of third-party error reporting, crash analytics, or product analytics for which a clear, effective opt-out is offered and honored; security updates; and license-compliance checks that do not disable software the user already lawfully runs. ═══════════════════════════════════════════════════════════════════════════ 2. GRANT OF COPYRIGHT LICENSE Subject to the terms of this License, each Contributor grants You a perpetual (for the duration of the applicable copyright), worldwide, non-exclusive, no-charge, royalty-free, irrevocable-except-as-stated-in-Section 8 copyright license to: 1. use the Software for personal, educational, and non-commercial research purposes without restriction; 2. use the Software for any purpose that is not Commercial Use; 3. reproduce and distribute verbatim copies of the Software together with this License; 4. study and inspect the source for any purpose; 5. create and distribute Derivative Works, provided every condition in Section 5 is met; and 6. sublicense the rights in paragraphs 1–5 to recipients of a copy or a Derivative Work, without adding restrictions beyond those in this License. Commercial Use is not granted by this Section and requires a Commercial License under Section 7. ═══════════════════════════════════════════════════════════════════════════ 3. GRANT OF PATENT LICENSE Subject to the terms of this License, each Contributor grants You a perpetual, worldwide, non-exclusive, no-charge, royalty-free (except that Commercial Use remains subject to Section 7) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Software, where such license applies only to those patent claims licensable by that Contributor that are necessarily infringed by their Contribution alone or by the combination of their Contribution with the Software to which it was submitted. If You institute patent litigation against any entity (including a cross-claim or counterclaim in a lawsuit) alleging that the Software or a Contribution embodied within it constitutes direct or contributory patent infringement, then every patent license granted to You under this License for that Software terminates as of the date such litigation is filed. ═══════════════════════════════════════════════════════════════════════════ 4. GRANT OF RIGHTS — SUMMARY OF WHAT YOU MAY DO You may run, copy, study, modify, and share the Software and Derivative Works, for any non-Commercial purpose, for free, worldwide, forever, provided You follow Section 5. You may also use it in a business below the Revenue Threshold on the same terms. Anything that is Commercial Use needs a separate agreement (Section 7). Nobody — including Commercial licensees — may build a Closed System with it (Section 5.3). ═══════════════════════════════════════════════════════════════════════════ 5. CONDITIONS 5.1 ATTRIBUTION Every copy and every Derivative Work You distribute must: (a) retain this License file in full; (b) retain all copyright, patent, trademark, and attribution notices present in the Software, and retain the LICENSE PARAMETERS block; (c) include the Attribution Line in at least one of the following that applies to Your distribution: the README or top-level documentation, the product's "About" or credits screen, or the accompanying release notes; and (d) carry prominent notices stating that You changed the files, if You did, with a date. 5.2 COMMERCIAL USE REQUIRES A LICENSE Any Commercial Use requires a prior written Commercial License Agreement from the Licensor (Section 7). Commercial Use without a valid Commercial License Agreement is a material breach of this License and an infringement of copyright. Threshold transition: if You are using the Software in reliance on the Revenue Threshold and Your Annual Gross Revenue later exceeds it, You have ninety (90) days from the end of the fiscal period in which the Threshold was exceeded to either obtain a Commercial License or cease all use that has become Commercial Use. Use during that 90-day window is not a breach. 5.3 NO CLOSED SYSTEMS You may not use the Software or any Derivative Work, in whole or in part, as a component of a Closed System. This condition applies to every licensee regardless of revenue and regardless of whether the Closed System is commercial, and it applies to Commercial licensees unless their Commercial License Agreement waives it in writing. 5.4 SHAREALIKE FOR DERIVATIVE WORKS Any Derivative Work You distribute to a third party must be licensed, as a whole, under this License (OwnNet Source License 1.1) or, at Your option, a later numbered version published under Section 11.8. You may not offer or impose terms on the Derivative Work that restrict the recipient's rights under this License, and You may not apply technical measures that do so. Each Contributor retains copyright in their own Contributions. This Section does not grant You the right to place a third party's Contribution under a Commercial License; that requires Section 6 or that party's separate written permission. 5.5 NO MISREPRESENTATION You may not use the name "OwnNet", the name of the Project, or the name of any Contributor to endorse or promote a Derivative Work without prior written consent. You may not represent the Software or any Derivative Work as being licensed under an OSI-approved Open Source license or under a license other than this one. This License does not grant permission to use any Contributor's trade names, trademarks, or service marks, except as required by Section 5.1. ═══════════════════════════════════════════════════════════════════════════ 6. CONTRIBUTIONS 6.1 Inbound license. Unless You conspicuously mark a submission "Not a Contribution", You grant the Steward, with respect to Your Contribution: (a) a perpetual, worldwide, non-exclusive, royalty-free, irrevocable copyright license to use, reproduce, modify, prepare derivative works of, publicly display, sublicense, and distribute Your Contribution and such derivative works; and (b) the patent license described in Section 3, granted to the Steward and to all recipients of the Software; and (c) the right to license and sublicense Your Contribution, and to distribute it and Derivative Works containing it, under this License, under a later version of this License, AND under separate Commercial License Agreements on terms of the Steward's choosing. You retain all right, title, and interest in Your Contribution and may use it for any other purpose. 6.2 Representation. You represent that each of Your Contributions is Your original creation, or that You have sufficient rights to grant the licenses in Section 6.1, and that Your Contribution does not knowingly violate any third party's rights. 6.3 No obligation. The Steward is not obliged to use, merge, or distribute any Contribution. 6.4 A separate signed Contributor License Agreement offered by the Steward, if any, governs to the extent it conflicts with this Section. ═══════════════════════════════════════════════════════════════════════════ 7. COMMERCIAL LICENSE Commercial Use requires a Commercial License Agreement from the Licensor. To request one, contact the Licensor at the address in the LICENSE PARAMETERS block. The Licensor may grant or decline at its sole discretion and may set terms including fees, field-of-use limits, attribution, support and service levels, an express waiver of Section 5.3, and an alternative governing law. ═══════════════════════════════════════════════════════════════════════════ 8. TERMINATION 8.1 Your rights under this License terminate automatically upon any breach of its terms. 8.2 Reinstatement. If the breach is curable, this is Your first breach as to the Licensor, and You cure it within thirty (30) days after becoming aware of it (whether You discover it or the Licensor notifies You), Your rights are reinstated retroactively. If it is Your second or later breach, Your rights are reinstated only if the Licensor grants reinstatement expressly in writing. 8.3 Patent termination under Section 3 is not subject to cure. 8.4 Sections 1, 5.5, 8, 9, 10, and 11, and the disclaimers and limitations in Sections 9 and 10, survive termination. Any sublicense or copy properly distributed by You before termination remains in effect for its recipients so long as they comply. ═══════════════════════════════════════════════════════════════════════════ 9. DISCLAIMER OF WARRANTIES THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOU BEAR THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE. ═══════════════════════════════════════════════════════════════════════════ 10. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANY CONTRIBUTOR BE LIABLE TO YOU FOR ANY CLAIM, OR FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM OR IN CONNECTION WITH THE SOFTWARE OR THE USE OF OR OTHER DEALINGS IN THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ═══════════════════════════════════════════════════════════════════════════ 11. MISCELLANEOUS 11.1 Severability. If any provision of this License is held unenforceable, it is to be reformed only to the minimum extent necessary to make it enforceable, and the remaining provisions stay in full effect. 11.2 No waiver. A Contributor's failure to enforce any provision is not a waiver of its right to do so later. 11.3 Entire agreement. As to the Software, this License is the entire agreement between You and the Contributors and supersedes any prior understanding, except for a signed Commercial License Agreement or Contributor License Agreement, which controls where it conflicts. 11.4 No agency. This License does not create any partnership, joint venture, agency, or employment relationship. 11.5 Assignment. The Licensor may assign this License and its rights under it, including in connection with a transfer of the Project. You may not assign this License or Your rights under it without the Licensor's prior written consent, except to a successor of substantially all of Your assets that assumes Your obligations. 11.6 Interpretation. Section headings are for convenience only. "Including" means "including without limitation". 11.7 Controlling language. This License is written in English. If it is translated, the English text controls. 11.8 License text and revisions. Everyone is permitted to copy and distribute verbatim copies of this License document, and to apply it to their own project by filling in the LICENSE PARAMETERS block as described under "How to Apply This License to Your Own Project". The body of this License may not be modified; a modified text may not be called the "OwnNet Source License" or be presented as a version of it. Numbered revisions of this License are published solely by its author, Serhii Merenkov / LIMITED LIABILITY COMPANY "Technologies" (or their successors), at https://own-net.com/; the Steward or Licensor of an individual project may adopt a later revision but may not publish one. ═══════════════════════════════════════════════════════════════════════════ 12. GOVERNING LAW This License is governed by the laws of Ukraine, without regard to its conflict-of-laws rules, and excluding the United Nations Convention on Contracts for the International Sale of Goods. A Commercial licensee may agree an alternative governing law and forum in its Commercial License Agreement. ═══════════════════════════════════════════════════════════════════════════ HOW TO APPLY THIS LICENSE TO YOUR OWN PROJECT 1. Copy this file into your project as LICENSE. 2. Fill in every field in the LICENSE PARAMETERS block. 3. Set the "Change Date" field to "None", or to a date on which this License converts to a stated Open Source license for that release; if you use a Change Date, add a "Change License" field naming the target license and a sentence stating the conversion.
